Terms of Use & Copyright Notice

These Terms of Use govern your access to and use of all tools, simulations, assessments, frameworks, and digital products created and owned by Axis Advisory Co. ("Axis Advisory"), including the AXIS Intelligence Suite™. By accessing or using any Axis Advisory tool or product, you agree to be bound by these terms.

1. Intellectual Property & Ownership

All tools, simulations, assessments, methodologies, frameworks, templates, scoring models, outputs, and associated written content made available by Axis Advisory Co. — including but not limited to the AXIS AI Impact Simulator™, Talent Decision Engine™, AI Workforce Readiness Scorecard™, AXIS Intelligence Suite™, AXIS System™, and CAL Framework™ — are the exclusive intellectual property of Jennifer Williams / Axis Advisory Co. and are protected under U.S. copyright law and applicable intellectual property statutes.

Accessing, using, or downloading any Axis Advisory tool or product does not transfer ownership of any intellectual property. All rights not expressly granted in these Terms are reserved.

This copyright notice must appear on all reproductions, excerpts, or derivative uses of Axis Advisory intellectual property where expressly permitted.

3. Permitted Use

Subject to these Terms, Axis Advisory grants you a limited, personal, non-exclusive, non-transferable, revocable license to:

  • Access and use Axis Advisory tools for your own internal professional or organizational purposes

  • View and engage with outputs generated by the tools for personal or organizational decision-making

  • Reference Axis Advisory frameworks and tools in written work, provided proper attribution is given

Proper attribution format: "Axis Advisory Co. | Jenn Williams | axisadvisory.co"

4. Prohibited Uses

You may NOT, without prior written permission from Axis Advisory Co.:

  • Copy, reproduce, distribute, or publicly display any tool, simulation, assessment, or methodology in whole or in part

  • Reverse engineer, decompile, or extract source code from any Axis Advisory tool or application

  • Sell, resell, sublicense, or commercialize access to any Axis Advisory tool or its outputs

  • Create derivative works based on the AXIS System™, AXIS Intelligence Suite™, CAL Framework™, or any associated methodology

  • Remove, obscure, or alter any copyright notice, trademark, or attribution statement

  • Use Axis Advisory tools or outputs to train machine learning models or AI systems

  • Represent Axis Advisory tools or methodologies as your own original work

  • Share login credentials, access links, or tool files with parties not authorized under a valid agreement

5. Attribution Requirements

When referencing, citing, or building upon Axis Advisory frameworks (including the CAL Framework™) in published work, presentations, or organizational materials, you must include clear attribution to:

6. Confidentiality

Certain Axis Advisory tools, frameworks, and methodologies — including the AXIS System™ and its associated transformation model — are provided under confidentiality expectations. You agree not to:

  • Disclose, share, or publish confidential methodologies or tool architectures to third parties

  • Reproduce or distribute tool outputs beyond your authorized organizational use

  • Use confidential Axis Advisory information for competitive intelligence or product development

Where a separate Non-Disclosure Agreement (NDA) has been executed, its terms govern and are incorporated by reference into these Terms.

7. No Warranty; Limitation of Liability

Axis Advisory tools and products are provided "as is" and "as available" without warranty of any kind, express or implied. Axis Advisory Co. makes no guarantee that tools will be error-free, uninterrupted, or produce specific outcomes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIS ADVISORY CO. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, ANY AXIS ADVISORY TOOL OR PRODUCT.

8. Enforcement

Axis Advisory Co. actively monitors for unauthorized use, reproduction, or distribution of its intellectual property. In the event of a violation of these Terms:

  • Axis Advisory Co. reserves the right to revoke access immediately and without notice

  • Axis Advisory Co. may pursue legal remedies including injunctive relief, actual damages, and statutory damages where applicable

  • Unauthorized reproduction of registered or pending trademarks may constitute separate violations under the Lanham Act

9. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Orange County, Florida, or through binding arbitration at Axis Advisory Co.’s election. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
